Opportunity We do the
molding, you make the profits! Please review the entire wholesale agreement and
complete the application to include
information about your business and if you prefer a Drop-Ship or Traditional
Wholesale account (you can add this information in the address field under
your address). Your wholesale
account will NOT be activated until
we have this information. You are NOT to copy our exact
product or scent descriptions from our website! This will result in "duplicate content" issues with the
search engines for both our site and yours, and we cannot allow this. You may
re-word our descriptions, however "cutting and pasting" them are
strictly prohibited. *Completing this form does not in any way bind you
to purchase any product or do business with our company.* It simply provides
both you and our company the information needed should you choose to place an
order. Wholesale
and Drop Ship Agreement with BTB Bath 1. Our wholesale and drop ship
agreement allows for companies to offer our products via their website or brick
and mortar store. We offer two wholesale options: a.
Traditional Wholesale Account: place a
bulk size order with a minimum quantity ordered of 75 items for a reduced price
(50% off current retail prices at time of order not including shipping charges).
Child Bombs are not available for bulk orders. Requests may be granted but you
must email us first. b.
Drop-Ship Wholesale Account: place an order with us for your customer for a
reduced price (25% off current retail prices at time of order not including
shipping charges), and have the product shipped directly to your customer. No
minimum order and every item is available for drop-ship accounts. 2. To access your wholesale account please visit our website home page and click on the Wholesale link. Sign in using your email address and password you gave when submitting your wholesale application. Then shop! Your wholesale price and discount will already be applied to your order and calculated for you. 3. Applicants are not considered employees of BTB
Bath and shall NOT represent themselves as such. This Agreement does not create
any partnership, joint venture, sales representative, or employment
relationship between the parties. You will have no authority to make or accept
any offers or representations on our behalf. 4. Wholesalers are encouraged to sell our products
at our suggested retail price which can be found on our website, however you
are welcome to adjust the prices based on your market without undercutting us.
You can NOT sell our products for a
lower price than we sell them. You will not be allowed to use any additional
coupons or specials we may be promoting for our retail customer, such as free shipping;
however you are allowed to create your own promotions, keeping in mind your
coupon percentage with us will not change. Our products are NOT to be sold on eBay and discovery of
such will be ground for immediate termination of your wholesale account. 5. We will only accept wholesale and drop ship
orders via our website. Phone, email, or fax orders will not be accepted for any
wholesale accounts without prior notification and approval from us. You should
always use the account you create or have created, using your customers address
for the "ship to" address if drop-shipping. You must use your own
form of payment with your correct billing address. Do NOT use your customers
credit card information on our site! You collect the order, payment and
applicable shipping charges from your customer then process the order on our
site ~ and keep the difference. 6. You acknowledge by electronically signing this agreement that the
shipping address which is/may be different from the billing address is the
intended address for your order. You accept full responsibility for any losses
that may occur after said delivery to your customer by BTB Bath. You further
agree that if the shipment is refused by you or any recipient at your designated
address that you will still be responsible for the full invoice amount and/or
re-stocking fees, and will be obligated to honor the full credit card or PayPal
charges. 7. All orders are shipped USPS from zip code 30281.
Our shipping rates are based on the weight of the product items ordered. All Wholesalers must request
non-branded tags if labels are a concern. 8. As a wholesaler or drop-shipper it is your
responsibility to check our website often to keep updated on new and
discontinued product lines, new and discontinued scents, photo updates, as well
as price changes. While we will attempt to keep you up to date we do NOT
guarantee to notify of such changes. We reserve the right to change our terms
(including this agreement), product selection, prices and scent options at any
time without notice. 9. Orders must be paid in full before production is
started. We accept Visa, Mastercard, Paypal and eCheck. You will receive a confirmation
of order received email, and again at shipment. Please remember that your order
will not be processed until payment has cleared if paying via eCheck and
processing time for clearing is 5-7 days. 10. All Wholesalers must request
no tags if labels are a concern on our products.
We do this so our wholesalers may place their own branded tags on our
products. If no tags are not requested each product will have the BTB
Brand on the label. All products are hand-made upon order to ensure
a long shelf life and a high quality product so please allow 7-10 business days
for order processing of wholesale orders; Drop-Ship orders have a 3-5 business
day turn-around time. 11. Limitation of Liability; Indemnification. (The
legal stuff) a) Liability. Under no circumstances will either
party be liable to the other party for indirect, incidental, consequential,
special or exemplary damages (even of the party has been advised of the
possibility of such damages) arising in connection with this agreement, even if
either party has been advised of the possibility of such damages (collectively,
"disclaimed damages"); Provided that you shall remain liable to BTB
Bath to the extent any disclaimed damages are claimed by a third party and are
subject to indemnification pursuant to section. In no event shall the liability
of BTB Bath in connection with this agreement for damages not excluded in the
immediately preceding sentence exceed the amount paid or payable by BTB Bath to
you under this agreement. b) Indemnification. You agree to defend, indemnify
and hold harmless Beyond The Bomb d.b.a BTB
Bath, its subsidiaries and wholesales,
and their respective officers, directors, agents, distributors, franchisees and
employees against any loss, damage, expense, or cost, including reasonable
attorneys fees (including allocated costs for in-house legal services) arising
out of any claim, demand, action, suit, investigation, arbitration or other
proceeding by a third party ("Liabilities") based on (i) your
material breach of any covenant, duty, representation, or warranty of this
Agreement, (ii) materials contained on your Business or Website (including any
allegation that such materials infringe a third party's proprietary rights),
(iii) or otherwise related to the Data, and (iv) or otherwise related to your
Business or Website and the content thereon. c) Bath Bombs made from BTB is a legally registered
business in the State of Georgia under the company name Beyond The Bomb Bath. By submitting the application below, you agree to
the terms of this agreement. We look forward to working with you, here's to our
success! *~New policies effective December 2008~* Again, please add in your application if you would need a traditional or drop-ship account. We cannot activate your wholesale account without this information. Not adding this information into the address field after your address will only delay the process. Thank you. |
